Health Center Project

Structure

Legal form: A corporation formed under the laws of California as a public benefit nonprofit.

Control of entity: The board of directors will control the entity and all its activities. The board initially will be named in the articles of incorporation or the bylaws. Those initial directors will name new directors, either replacements or additions, by majority vote. Control is vested in a self- perpetuating body.

Board of Directors: The makeup of the board will be set forth in the bylaws of the corporation. Any number (3 or more) is possible.
To assure representation to key sponsors, certain board positions can be dedicated to persons nominated by selected sponsors. For example, if the board is nine in number:
4 representative community members
1 tenant representative (elected by the tenant association)
1 from the county
1 from named donor/designee
1 from Kaiser
1 from Marin Healthcare District

The board will elect representatives of the community as directors. The directors representing the county, Kaiser, MHD and named donor will be nominated by those entities.
 
Directors will serve any term established in the bylaws, from unlimited to terms of years, with or without reelection being possible

Management: An executive director, perhaps part time, a secretary and a chief financial officer.
